Terms of Service for Taros

1. Acceptance of Terms
By creating an account, accessing, or using the Taros platform ("Service"), provided by Taros ApS ("Taros", "we", "us", or "our"), you ("you" or "your") acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you are strictly prohibited from using the Service.
2. Eligibility
You must be at least 16 years of age to use this Service. By registering for an account, you represent and warrant that you meet this age requirement and have the legal capacity to enter into a binding contract.
3. Account Registration & Security
To access certain features of Taros, you must register for an account. You agree to provide accurate, current, and complete information during the registration process, maintain the security of your password and accept all risks of unauthorized access to your account, and immediately notify us if you discover or suspect any security breaches related to the Service.
You are solely responsible for all activity that occurs under your account. Taros is not liable for any loss or damage arising from your failure to safeguard your credentials.
4. Prohibited Conduct & Content Restrictions
You agree not to use the Service to violate any applicable local, state, national, or international law. Specifically, regarding the "Knowledge Base" training features of Taros:
- You are strictly prohibited from inputting URLs, sitemaps, or documents into Taros for the purpose of scraping, crawling, or training the AI on content you do not own or do not have explicit permission to use.
- By uploading documents or providing URLs for the AI to crawl, you represent and warrant that you own the intellectual property rights to that content or have obtained all necessary licenses.
- You acknowledge that any content you upload to the Knowledge Base may be cited or repeated by the AI chatbot in responses to end users. You should not upload any content that you do not wish to be publicly disclosed or shared through the chatbot. Taros is not liable for any damages or claims arising from the chatbot disclosing or repeating content that you have uploaded to the Knowledge Base.
- Creating multiple accounts to circumvent free trial limitations or to abuse any promotional offers is strictly prohibited.
- As a subscriber, you are responsible for ensuring that you have a lawful basis for processing any personal data submitted by end-users through the Taros chat widget. We recommend not collecting sensitive personal data (such as health information, financial details, or government identifiers) through the chat unless explicitly required for your business purposes and appropriately configured.
5. Intellectual Property Rights
The Taros platform, including but not limited to our logo, visual design, source code, software, and algorithms, is the exclusive property of Taros and is protected by copyright and intellectual property laws.
You retain ownership of the documents and data you upload to train your bot. However, you grant Taros a limited, non-exclusive license to process, host, and analyze this content solely for the purpose of providing the Service to you.
White-Label & Reselling
You may resell or offer the Service to third parties under your own brand, provided that all implementations clearly display "Powered by Taros" or similar attribution in a visible location. Failure to maintain proper attribution is a violation of these Terms and may result in termination of your account.
6. Subscription, Billing, and Payment
Free Trial
Taros offers a 14-day free trial of our Starter plan for new users. Payment information is required at sign-up.
At the end of the free trial period, your subscription will automatically convert to a paid monthly subscription at the standard monthly rate unless you cancel before the trial expires. You will be charged on the first day after the trial ends, which will become your Billing Date. We will send a reminder before your trial expires.
The free trial is available only once per user.
Billing & Renewal
Our Service operates on a subscription basis, either Monthly or Yearly.
You will be billed on the date you subscribe (the "Billing Date"). If you subscribe on a date that does not occur every month (such as the 31st), you will be billed on the last day of shorter months.
Your subscription will automatically renew at the end of each billing cycle unless you cancel prior to the renewal date.
Additional Credits
You may purchase additional message credits at the time of subscribing to a plan. Additional credits are billed at the same interval as your selected plan. If you subscribe to a monthly plan, additional credits will be billed monthly. If you subscribe to a yearly plan, additional credits will be billed yearly.
Additional credits are managed as a separate item within your subscription and follow the same plan change rules. If you increase your additional credits mid-cycle, the change takes effect immediately with pro-rata billing. If you decrease your additional credits mid-cycle, the change will not take effect until the start of the next billing cycle.
Plan Changes
If you upgrade your plan mid-cycle, the change takes effect immediately. A new Billing Date will be set to the date of the upgrade. Any remaining value from your previous plan will be calculated on a pro-rata basis and applied as a discount to the first charge of the new plan.
If you downgrade your plan mid-cycle, the downgrade will not take effect until the start of the next billing cycle. You will retain access to your current plan features until the current cycle ends.
If you cancel your subscription, your access will continue until the end of the current billing cycle. No partial refunds will be issued for the remainder of the cycle (except as noted in the Refund Policy below).
7. Message Credits & Usage
Taros operates on a message credit system used to power AI responses.
One message credit represents the average cost of one response from our standard AI model. Responses from more advanced AI models may consume additional credits per message.
To ensure service reliability and uptime, Taros may automatically switch to fallback AI models if your selected model or provider is temporarily unavailable. This may result in credit consumption that differs from your selected model. We prioritize service availability over strict model selection.
Message credits are refilled on a monthly basis corresponding to your specific message credit plan, regardless of whether you pay monthly or yearly.
Unused message credits do not roll over to the next month. At the end of each monthly cycle, your message credit balance resets to your plan limit.
If your message credit balance reaches zero, the widget will cease to function until message credits are refilled at the next cycle. We will attempt to notify you when your balance reaches a low threshold.
Credit Transaction Records & Disputes
Taros retains records of message credit transactions for a period of 60 days. If you believe there has been an error with your message credit balance or a specific transaction, you must notify us within 60 days of the transaction in question. After this period, transaction records may no longer be available, and we will be unable to investigate or resolve disputes related to message credit usage.

8. Usage Limits & Fair Use
To ensure reliable service for all users, Taros may impose usage limits on certain features depending on your subscription plan.
Rate Limits
Rate limits may apply to the number of messages processed within a given time period. These limits vary by plan and are designed to ensure fair usage and system stability.
Fair Use
Taros is designed for legitimate business use. Automated abuse, excessive API calls, or any activity that negatively impacts the Service or other users is prohibited. Examples include, but are not limited to, denial-of-service attacks, automated scraping of the Service, or using the Service to send spam. We reserve the right to throttle or suspend access if we detect usage patterns that violate fair use principles.
API Access
If your plan includes API access, you agree to use the API in accordance with our API documentation and any additional terms specified therein. Taros reserves the right to modify, limit, or revoke API access at any time.
Taros reserves the right to modify usage limits at any time. We will make reasonable efforts to notify users of significant changes.
9. Refund Policy
All fees are non-refundable. Once credits have been drawn from your account for usage, a refund is unavailable.
If you are a Yearly subscriber and choose to cancel within the first 30 days of your subscription, you are eligible for a refund of the yearly fee, minus the cost of one month of service at the standard monthly rate.
10. Price Changes
We reserve the right to modify our pricing plans and credit costs. If we increase our prices, we will provide notice (e.g., via email or in-app notification) before the change takes effect. Continued use of the Service after the price change constitutes your agreement to pay the modified amount.
11. Termination & Suspension
We reserve the right to suspend or terminate your account and access to the Service at our sole discretion, without notice or liability, for any reason, including but not limited to a breach of these Terms (such as training the AI on unauthorized websites). We will make reasonable efforts to notify you prior to termination where circumstances permit.
Upon termination or deletion of your account, Taros will retain your data for a period of 90 days, after which it will be permanently deleted, except for data we are legally required to retain (e.g., billing records). During this period, you may request a copy of your data by contacting us at [email protected].
12. Indemnification
You agree to indemnify, defend, and hold harmless Taros, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your violation of these Terms, your violation of any third-party rights (including intellectual property rights), and any content you upload, submit, or provide to the Service, including content used to train your AI chatbot.
This indemnification obligation shall survive the termination of your account and these Terms.
13. Disclaimers
The Service is provided on an "as is" and "as available" basis. While we work hard to deliver a reliable and useful product, we cannot guarantee that the Service will always be uninterrupted, secure, or error-free.
To the maximum extent permitted by law, Taros disclaims all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the results obtained from the use of the AI, including answers provided to your customers, will be accurate or reliable, or that the quality of the Service will meet your expectations.
Taros strives to provide reliable and consistent access to the Service. However, we do not guarantee any specific level of uptime or availability, and the Service is provided without a formal Service Level Agreement (SLA). Scheduled maintenance and unforeseen outages may occur from time to time.
Taros reserves the right to modify, suspend, or discontinue any part of the Service, including features and functionality, at any time with or without notice. We will make reasonable efforts to notify users of significant changes in advance.
From time to time, Taros may offer beta or preview features. These features are provided for testing purposes and may be modified, suspended, or discontinued at any time without notice. Beta features are provided "as is" without any warranties or guarantees.
The Service relies on third-party providers, including but not limited to cloud hosting, AI model providers, and payment processors. Your use of the Service is also subject to the terms and policies of these third-party providers. Taros is not responsible for any failures, changes, or limitations imposed by third-party services.
14. Limitation of Liability & AI Accuracy
Taros provides an AI infrastructure that generates responses based on the content you provide. AI models can occasionally produce incorrect or misleading information ("hallucinations").
You acknowledge and agree that Taros is not responsible for the accuracy, legality, or appropriateness of the answers generated by the AI chatbot, that you are solely responsible for monitoring your chatbot's interactions with your customers, and that in no event shall Taros be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of your use of the Service or the actions of the AI widget on your website.
In no event shall Taros' total liability to you for all claims arising out of or related to the Service exceed the total amount paid by you to Taros in the twelve (12) months preceding the claim.
15. Changes to Terms
We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by updating the "Last Updated" date at the top of these Terms or through other communication channels. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.
16. Governing Law, Jurisdiction & General Provisions
These Terms of Service shall be governed by and construed in accordance with the laws of Denmark, without regard to its conflict of law provisions.
Before initiating any legal proceedings, both parties agree to attempt to resolve any dispute arising out of or relating to these Terms through good faith negotiations for a period of at least 30 days.
Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Denmark.
If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.
Taros shall not be liable for any failure or delay in providing the Service caused by circumstances beyond our reasonable control, including but not limited to outages or failures of third-party infrastructure providers (such as cloud hosting, AI model providers, payment processors, or internet service providers), cyberattacks, power outages, or actions by governmental authorities.
These Terms of Service, together with our Privacy Policy, constitute the entire agreement between you and Taros regarding your use of the Service, and supersede any prior agreements, communications, or understandings, whether written or oral.
